Here are some important pieces of information regarding an accumulated net operating loss for federal tax purposes by Mr. Yves Tanguay.
The tax loss is a federal tax loss.
A new partnership for private partner participation is being formed. The private partner participation will be open to all citizen of the United State of America. The entity will not be a publicly traded entity. The entity will be a Limited Liability Company being taxed as a partnership. As a partnership, the LLC can specially allocate income, gain, loss, deductions and credits among its members.
An affiliated approved entity has available for Sale to qualified Investor, a U.S. Federal Net Operating Tax Loss for ( 17 ) seventeen years including taxable year 2027.
The amount a purchaser can claim is $12,000,000.00 N.O.L. are available to be carried forward and be used to offset future Income until the year 2027.
The federal tax rules and regulations governing Net Operating Losses can be found in the Internal Revenue Service Publication 536.
Tax strategy within the law would be to allocate the losses of a new Partnership to the
New Investor and when a profit occurs, the profit could be allocated to the partner with the significant net operating loss.
A partner with a significant amount of Net Operating Loss available on a personal tax return would be able to absorb a significant amount of profit.
